Terms of Service

These Terms of Service are an agreement between you and ESL SKILLS LLC (“we”, “us”, “ESL Nearby”). They cover the ESL Nearby website, the iOS app, and the Android app.

By opening the site, creating an account, buying a course, or downloading the app, you agree to these terms, the Privacy Policy, the Cookie Policy, the Return Policy, and Available Services. If you do not agree, do not use the service.

1. The service

ESL Nearby is an English-learning product of ESL SKILLS LLC. Maya and the lessons around her took two years to develop. The service includes free and paid website courses, the mobile app, writing and speaking practice, and related support.

We may change, pause, or end a feature. We do not promise that a particular lesson, teacher, or tool will stay available forever.

2. Who may use it

You must be 13 or older to create an account. If you are under 18, a parent or guardian must agree to these terms and supervise your use.

You must also be someone we are allowed to serve under United States law. See Available Services. If you are in a sanctioned country or region, or you are a sanctioned person, you may not use ESL Nearby.

3. Your account

You are responsible for the sign-in you use and for what happens on the account. Keep it to yourself. Tell us if you think someone else is using it.

You must give a real email you control. Do not create an account for another person without their permission, or for someone we cannot serve.

We may suspend or close an account that breaks these terms, that we cannot legally serve, or that is used to harm the service or other people.

4. License to use the content

Lessons, characters (including Maya), voices, artwork, software, and the arrangement of the courses belong to ESL SKILLS LLC or its licensors. We give you a personal, non-exclusive, non-transferable license to use them for your own English learning, for as long as your account may access them.

You may not copy, scrape, resell, republish, or train another model on our lessons, audio, or characters. You may not remove our name or Maya’s name from the material.

5. What you submit

Writing, recordings, and chat you send stay yours. You give us a license to use them only to run the service — to mark them, to reply, to store your progress, and to keep the product safe.

Do not submit anything illegal, hateful, or sexual involving minors, or anyone else’s personal data. Do not submit secrets you do not want processed.

6. AI features and OpenAI

Some website courses and the speaking features in the app use the OpenAI API. Your writing, your voice, or your conversation may be sent to OpenAI so we can mark a paragraph, check pronunciation, run a mock interview, or talk with you.

Those replies are generated by a machine. They can be wrong, incomplete, or a poor fit. They are not a teacher’s license, a visa, a job offer, or legal, medical, or immigration advice.

You agree that this processing is necessary for those features. Details are in the Privacy Policy.

7. Purchases

Free courses stay free. The rest of the website library and the AI teachers on the website need the Web plan, $2.99 a month, paid through Stripe on this website. You can cancel anytime. Access lasts until the end of the month you already paid for.

The App plan is $7.99 a month and is sold only in the iOS or Android app, through the App Store or Google Play. It includes AI in the journey and 10 minutes of on-demand conversation. Those charges are billed by Apple or Google under their rules.

The Talk plan is $26 a month and is sold only in the iOS or Android app, through the App Store or Google Play. It includes AI in the journey and 30 minutes a day of on-demand conversation. Those charges are billed by Apple or Google under their rules.

A course you already bought as a one-time payment stays on your account.

Prices are shown before you pay. Taxes may be added. Refunds are described in the Return Policy. App-store refunds are decided by Apple or Google.

A purchase does not transfer ownership of the lessons. It unlocks access for your account.

8. Acceptable use

Use ESL Nearby only for lawful personal learning, or for teaching if we have agreed that with you (for example a school plan).

You agree not to:

• break the law, or use the service from a place or as a person we cannot serve.
• try to get into another account, our admin tools, or our systems.
• copy the library, overload the service, or bypass a paywall.
• abuse teachers, other learners, or the AI features.
• use automated tools to scrape or download the courses.

9. Where we can offer the service

We follow United States law, including sanctions and export rules. We do not offer the website, the app, or paid courses to restricted countries, regions, or people. The list and your duties are on the Available Services page. That page is part of these terms.

10. Schools and families

If you buy or manage access for a child or a class, you confirm you have the right to do so, and that you will make sure they use the service under these terms.

11. Disclaimer

The service is provided “as is”. We work to keep lessons careful and the app reliable. We do not promise a particular exam score, job, visa, or fluency, and we do not promise the site or app will never be down.

English in the real world changes. Examples in a lesson are for learning, not for legal or official use.

12. Limitation of liability

To the fullest extent the law allows, ESL SKILLS LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the website or the app.

Our total liability for any claim about the service is limited to the amount you paid us for the service in the 12 months before the claim, or ten United States dollars if you paid nothing.

Some places do not allow these limits. In those places, our liability is limited to the maximum the law allows.

13. Indemnity

You will defend and hold ESL SKILLS LLC harmless from claims that arise from your misuse of the service, your content, or your breaking of these terms, except to the extent we caused the claim.

14. Ending the service

You may stop using ESL Nearby and ask us to delete your account. We may stop offering a feature or the whole service. If we close a paid course you already bought for a reason other than your breach or a legal block, we will handle it under the Return Policy.

Sections that should survive — including intellectual property, disclaimers, limits on liability, and governing law — stay in force after the account ends.

15. Changes to these terms

We may update these terms. The date at the top will change. If you keep using the website or the app after a change, you accept the new terms. If you do not, stop using the service.

16. Governing law

These terms are governed by the laws of the United States of America, without regard to conflict-of-law rules. Courts in the United States have exclusive jurisdiction, except where the law of your country gives you a right that cannot be waived.

If a court finds one part unenforceable, the rest still applies.
